Terms of Service

Welcome to Grant Gazelle, LLC. These Terms of Service explain the rules and conditions for using our Website, online courses, digital tools, downloadable materials, and any other Services we offer (collectively referred to as the “Services”). By using any part of our Services, you agree to follow these Terms as set by Grant Gazelle, LLC (“Grant Gazelle,” “we,” “us,” or “our”).

1.0 Eligibility

1.1. To use our Services, you must be at least 18 years old and legally able to enter into contracts in the United States.

1.2. Grant Gazelle’s Services are intended for individuals living in the United States.

1.3. If you are using our Services for a company or group, you represent that it is legally registered and allowed to do business where it is based, has the authority to enter into these Terms, and that you are authorized to agree to the Terms on its behalf.

2.0 Account Registration

2.1. Access to Grant Gazelle’s Services features requires an active Subscription (“Subscription”) and a registered Account (“Account”).

2.2. When setting up your Account, you must provide certain details, including your full legal name, business address, phone number, a valid email address, and any other information we may request. The information you provide will become part of these Terms.

2.3. By using Grant Gazelle’s Services, you agree to the following:

  1. You accept these Terms and any other policies, conditions, or Terms of service referenced or linked here.
  2. You confirm that you are using Grant Gazelle Services for business or personal use.
  3. You will provide complete, accurate and up-to-date information during registration (“Registration Data”).
  4. You will keep your Registration Data and any other information you share with Grant Gazelle accurate and current by updating it as needed.
  5. You are responsible for keeping your Account credentials (such as your login and password) secure and private. You acknowledge that Grant Gazelle cannot be held responsible for unauthorized access to your Account or information if that access results from your failure to safeguard your credentials.
  6. You acknowledge and accept the risk that any unauthorized access to your Registration Data or other information you provide to Grant Gazelle, resulting from your failure to secure your Account credentials, is your sole responsibility.
  7. You are responsible for all activity and transactions that happen through your Account, whether or not you authorized them.
  8. You will only use Grant Gazelle’s Services in ways that comply with applicable laws.

By using Grant Gazelle’s Services, you confirm that you meet the eligibility criteria outlined above and agree not to use the Services for any purpose that would violate United States laws or regulations.

2.4. Ownership Disputes. Grant Gazelle may request documents to help confirm the rightful owner if there is a disagreement about who owns an Account. These might include documentation such as a business license, organization paperwork, a photo ID issued by the government, or the last four digits of the payment method linked to the Account on file. At its sole discretion, Grant Gazelle reserves the right to determine who the rightful Account owner is and may transfer or restrict access accordingly. If ownership cannot be reasonably verified, we may temporarily suspend the Account until the matter is resolved.

3.0 Access to Services

3.1. Access to Services. While your Subscription is active and you comply with these Terms, Grant Gazelle gives you permission to access and use its Services, tools, and course materials for your personal or internal business use. This permission is limited, non-transferable, non-exclusive, and can be revoked. Your access applies only to the Services you have paid for and is valid during your Subscription period as long as you continue to meet all applicable Terms. You acknowledge that Grant Gazelle relies on third-party providers for the infrastructure needed to deliver its Services—including hosting, software, networking, and storage—and agree that Grant Gazelle is not responsible for any issues caused by those third parties. Grant Gazelle reserves the right to update or modify its Services, including tools, features, or content, at any time. We are not obligated to maintain or provide prior versions.

3.2. Unauthorized Use. You are not permitted to copy, share, alter, deconstruct, or build upon any part of the Grant Gazelle Services, including course materials, content, or related resources.

3.3. End User Access and Responsibility. Each Grant Gazelle Account is for one user only and is non-transferable.

3.4. Professional Services. Grant Gazelle may offer optional add-on Services, such as personalized grant writing support. If both parties agree to move forward with these Services, a separate agreement will be put in place outlining the scope, Terms, and applicable Fees.

3.5. Beta Services. From time to time, Grant Gazelle may allow you to try out new or experimental features that have not yet been released to all users (“Beta Services”). These Beta Services are offered for testing or feedback purposes and are completely optional. If you choose to participate, we may provide additional Terms or guidelines for your use. Because these features are still in development, they may not work perfectly or perform like our standard Services. Any information about Beta Services—such as your experience, comments, or related materials—should be treated as confidential. By joining a beta test, you agree not to share details about it publicly without our written approval. Beta Services are provided “as is,” with no guarantees or warranties, and we may change, pause, or end them at any time. Grant Gazelle is not liable for any problems, losses, or damages that may occur due to using these experimental features.

3.6. Promotional Offers. From time to time, Grant Gazelle may roll out special deals, discounts, or special membership offers. Whether you are eligible for a particular promotion is up to us, and if it turns out you do not meet the requirements, we may cancel the offer or pause your Account. We may consider factors such as your payment method or whether your email is associated with a current or recent Grant Gazelle Account. Full details, including any restrictions or conditions, will be shared with you when you sign up or through related communications.

4.0 Terms of Service

4.1. Subscription Term; Service Term. These Terms take effect once you complete your Account registration and will remain in place until either you or Grant Gazelle ends the agreement, as outlined below. These Terms govern your access to Grant Gazelle Services for as long as you continue to use them or until they are terminated. Your Subscription period’s start and end dates (“Subscription Term”) are defined in your order and remain in force unless ended sooner under the conditions described in these Terms. Unless ended earlier, this agreement will automatically expire one year after all Subscription periods have concluded.

4.2. Changes to Terms of Service. You understand that Grant Gazelle can update these Terms whenever needed, for example, to stay in line with new laws, improve the Services, or introduce new features. Grant Gazelle will post the most current version in our Terms and Policy tab on our website. If an amendment is material, as determined at Grant Gazelle’s sole discretion, we may notify you by email or post it to the Grant Gazelle website or upon logging into your Account. By continuing to use Grant Gazelle’s Services after we have posted and updated our Terms or given notice (when required), you are agreeing to those changes. If you do not agree with the new Terms, you must stop using the Grant Gazelle Services.

4.3. Automatic Renewal. If applicable, your Subscription will automatically renew for the same length of time as your current term. The renewal will be billed at Grant Gazelle’s then-current pricing, unless we offer a discount as a courtesy to loyal customers.

4.4. Subscription Cancellation. Either Party may terminate a Subscription at the end of the current Subscription Term by providing written or email notice to the other Party at least three (3) days before the Subscription’s expiration date. Your content may be deleted from the Services within a reasonable period from when you cancel your Account/Subscription. Grant Gazelle cannot recover deleted content once your Account/Subscription is cancelled. We do not accept any liability for such loss.

4.5. Suspension. Upon written notice to you, Grant Gazelle may temporarily suspend your access to the Services (or any part thereof) if your use of the Services poses a significant risk to Grant Gazelle’s customers, infrastructure, or security; your payment of Fees to Grant Gazelle is late; you have abused or excessively used the Grant Gazelle Services; or you have breached these Terms. No refunds will be given for suspensions due to your breach.

4.6. Termination.

4.6.1. By You. You may cancel your Subscription at any time through your Account settings or by contacting us at support@grantgazelle.com. If you cancel, your Subscription will stay active through the end of your current billing period and will then end automatically. Your cancellation takes effect at the end of your current billing period. You will not be charged again unless you choose to resubscribe.

4.6.2. By Grant Gazelle. Grant Gazelle has the right to downgrade or cancel your Account anytime for any reason without liability. This rare occurrence would only happen if you violated the Terms, broke the law, misused the service, or your Account was inactive for 12 months. Grant Gazelle will provide you with notice at your registered email address. Grant Gazelle reserves the right to change or suspend any part of its Services, whether temporarily or permanently, with prior notice.

4.6.3. Effects of Termination. If your Account is terminated by either you or Grant Gazelle for any reason:

  1. Your access to Grant Gazelle’s Services and your Account will end.
  2. Unless otherwise stated in these Terms, any Fees previously paid are non-refundable, including partial or unused portions.
  3. Any remaining balance for Services used up to the termination date will be immediately due in full.
  4. You understand and agree that once your Account is closed, we may permanently delete it and all related data.

5.0 Fees

5.1. Fees. You agree to pay all applicable Fees for your use of Grant Gazelle’s Services, based on the pricing and payment Terms provided at the time of purchase (“Subscription Fees”). Our Services are offered through Subscription Plans, billed in United States dollars monthly or annually, depending on your chosen option. Payments are processed through third-party providers using the payment method linked to your Account. These transactions are subject to the payment processor’s terms, conditions, and Privacy Policy. In addition to your Fees, you are also responsible for any processing or service charges that the provider applies (“Transaction Fees”). These costs—Subscription Fees and Transaction Fees are referred to as the “Fees.” All Fees are non-refundable, and payment obligations cannot be cancelled unless required by law or stated explicitly in these Terms. Grant Gazelle will send invoices to the billing email address you provided during registration. Unless otherwise agreed in writing, Grant Gazelle is not required to use vendor management portals or external systems for invoice submission or payment processing.

5.2. Subscription Plans. Grant Gazelle bills for Services on a Subscription basis (“Subscription”), with charges processed in advance on a recurring schedule, known as your billing cycle. Billing cycles may be monthly or annual, depending on your chosen plan. Your approved payment method will be automatically charged once your purchase is confirmed and at the start of each new billing cycle. Unless you cancel beforehand, your Subscription will renew at the end of each cycle. If you wish to cancel, you must do so before the current billing cycle ends—either through your Account settings or by emailing us at support@grantgazelle.com. Your Subscription will remain active through the end of the current cycle and then expire. If you do not want the Subscription to renew, you can cancel immediately after it begins. You can check renewal dates, manage your plan, or cancel anytime through your Account dashboard or by contacting our billing team.

5.3. Price Changes. Grant Gazelle may adjust its pricing from time to time. If there is a change to Subscription or service Fees, we will notify you in advance—usually by email, through your Account, or via our website. If a Subscription price changes, the updated price will take effect when your next billing period begins. By continuing to use your Subscription after the updated pricing takes effect, you agree to the new rate, as allowed by applicable law. If you do not accept the new pricing, you may cancel your Subscription before the changes take effect. We will give you at least 30 days’ notice before any price adjustments, except in cases where the change is due to updated rates from a third-party service provider. In those cases, Grant Gazelle may adjust the cost without prior notice.

5.4. Taxes. Unless clearly stated, all listed Grant Gazelle prices exclude taxes, levies, duties, or similar governmental charges (collectively, “Taxes”), such as sales tax or withholding tax. You are obligated to cover all Taxes that apply to your purchase or use of the Services and to keep your billing information accurate and up to date. If any payments to Grant Gazelle are subject to Taxes, we may collect them from you, even if we have not done so in the past. Changes to your Account or Subscription (e.g., upgrades, downgrades, or modifications) may also trigger additional Taxes, and we will notify you if that results in a pricing adjustment. For U.S. customers, if we are required to collect sales tax, it will be based on your billing information. If incomplete, we may apply the highest prevailing rate unless you provide a valid exemption certificate, which you agree to keep current and accurate. If we later determine the exemption is valid, we will refund any collected sales tax per state law. If you are located outside the United States, we may apply VAT, GST, or other relevant Taxes unless you submit valid documentation proving you are exempt. In regions with varying tax rates, incomplete or inaccurate billing details may lead to the highest applicable rate being charged. If you are legally required to withhold Taxes from your payments to Grant Gazelle, you must provide official documentation (such as a tax receipt) to support those withholdings.

5.5. Delinquencies. If we cannot process your payment using the authorized payment method on file, Grant Gazelle may try again using any valid payment method associated with your Account. If payment is still not received within 28 days of the first attempt, we may, at our sole discretion, suspend, limit, or revoke access to your Account and Services. Grant Gazelle will restore full access to your Account once all past-due Fees are paid, along with the charges for your upcoming billing cycle. If the unpaid balance is not resolved within 30 days of suspension, we reserve the right to terminate your Account and access to Grant Gazelle’s Services.

5.6. Refund Policy. We want you to feel confident and excited about joining Grant Gazelle. That is why we offer a full, no-questions-asked refund within 14 days of your initial sign-up. To request a refund, simply email support@grantgazelle.com within 14 days of your purchase and let us know you want to cancel your Subscription. After the initial 14-day window, all payments are final—no refunds or credits will be issued for unused portions of your Subscription. If you cancel, your access to Grant Gazelle’s Services will continue through the remainder of your billing term. Refund requests are only considered if you have not submitted a chargeback through your bank or payment processor or you have not received a prior refund for a Grant Gazelle purchase. We reserve the right to deny your request if these conditions are unmet. We also reserve the right to refuse future refunds to any user we determine has abused this policy.

6.0 Ownership and Restrictions on Use

6.1. Ownership. Grant Gazelle retains all right, title, and interest in and to Services, including, without limitation, all software, content, document templates, reports, images, text, graphics, illustrations, logos, service marks, photographs, videos, music, articles, the selection and arrangement thereof, and all related intellectual property rights (“Service Content”). The Service Content is protected by copyright © Grant Gazelle Incorporated. All rights reserved.

6.2. Permitted Use. You may use the Services and generate documents in compliance with these Terms for your own personal or internal business purposes. This use is non-exclusive, non-transferable, and revocable.

6.3. Prohibited Uses. Except as expressly permitted by these Terms or applicable law, you may not, and may not permit others to:

  1. Reproduce or Modify: Reproduce, duplicate, alter, adapt, translate, modify, or create new materials based on any part of Grant Gazelle’s Services (except for documents you create for personal use).
  2. Reverse Engineering and Code Access: Attempt to uncover, decode, break down, or gain access to the underlying source code or underlying structure, algorithms, or technology of Grant Gazelle’s Services.
  3. Resell or Distribute: Sell, license, sublicense, rent, lease, transfer, assign, resell, distribute, publicly display, publish, or otherwise exploit Grant Gazelle’s Services, or any part thereof.
  4. Unauthorized Access or Interference: Hack, scrape, crawl, frame, or use automated tools (e.g., spiders, robots) to access Grant Gazelle’s Services, attempt to access information or areas not intentionally made available to you, or circumvent, disable, or interfere with any security, access restrictions, or performance features.
  5. Illegal or Harmful Use: Use the Services in any unlawful or unauthorized manner, or to violate applicable laws in your jurisdiction or those of your users; transmit viruses, malware, or other harmful code; or use the Services to harm, erase, or improperly access systems, software, or data.
  6. Competitive Use: Build or train competing products, Services, datasets, foundation models, or tools that replicate the functionality, design, or content of Grant Gazelle’s Services; or disclose or publish benchmarking or performance analysis; use Grant Gazelle’s Services to avoid usage limits, Fees, or licensing Terms.
  7. Intellectual Property Violations: Remove, alter, or obscure proprietary notices, including copyright or trademark notices; use the Services in any way that infringes Grant Gazelle’s intellectual property or proprietary rights.

6.4. Jurisdictional Compliance. It is your responsibility to ensure your use of Grant Gazelle’s Services complies with all applicable local, state, federal, and international laws. Grant Gazelle does not permit the use of its Services in jurisdictions where doing so would breach applicable law. If we determine that your use violates such laws, we may suspend, restrict, or permanently close your Account without advance notice.

6.5. No Implied Relationship or Support. You agree not to misrepresent or exaggerate your connection with Grant Gazelle. This includes directly or indirectly suggesting that we endorse, sponsor, support, or are otherwise involved in your business or activities. You may not present yourself as being affiliated with Grant Gazelle in any way unless we have given you written permission to do so.

7.0 Trademarks

7.1. Trademarks. You understand and agree that all names, logos, trademarks, service marks, design elements, and other brand identifiers associated with Grant Gazelle (collectively referred to as the “Marks”) are Grant Gazelle’s exclusive property. You may not use, reproduce, mimic, or incorporate any of these Marks, in part or whole, without our prior written permission.

8.0 Support

8.1. How to Reach Us. If you need help, you can reach out to us at support@grantgazelle.com. We aim to get back to you within 24 hours, but certain questions might take a little longer to address.

9.0 Community Access and Online Communication Guidelines

9.1. Online Community Invitation. Grant Gazelle may invite you to join one or more online communities we manage (the “Community Services”) as part of your access to the Grant Gazelle Services. Access to these communities is entirely at our discretion, and we reserve the right to remove or restrict access at any time, especially in cases of harassment, disruptive behavior, rule violations, or misuse of the spaces. By participating in any Grant Gazelle-run community, you agree to use these spaces responsibly and respectfully. Your activity should remain on-topic, constructive, and appropriate for the community.

9.2. Participating in Community Services. When using our Community Services, you agree NOT to:

  1. Bully, harass, stalk, threaten, or otherwise harm or intimidate others.
  2. Post or share defamatory, offensive, obscene, infringing, illegal, or otherwise inappropriate content.
  3. Misrepresent your identity or impersonate another individual or organization.
  4. Upload files or materials containing copyrighted software, media, or content unless you have the rights or have received proper permission.
  5. Promote or conduct commercial activity unless permitted within that community space.
  6. Disrupt or interfere with another person’s ability to use or enjoy the community.
  7. Gather or collect personal information about other users without their consent.
  8. Violate any posted community rules or codes of conduct.
  9. Break any local, national, or international laws or regulations.

9.3. Moderating Community Spaces. Grant Gazelle does not actively monitor all community activity but reserves the right to review, edit, or remove any posted content at our discretion. We may also limit or revoke access to any user who misuses the space or creates an unreasonable burden on the community or platform. Grant Gazelle may disclose posted materials or user activity to comply with legal requirements or governmental requests if necessary.

10.0 Disclaimer and Limitation of Liability

10.1. Service Disclaimer. Grant Gazelle is committed to delivering a high-quality and dependable experience. However, occasional errors, inaccuracies, or technical issues may occur. We reserve the right to modify, enhance, suspend, or discontinue any part of the website or Services at any time, without notice. While we strive for uninterrupted access, the website or Services may become temporarily unavailable due to maintenance, updates, internet connectivity issues, third-party platforms, or other factors beyond our control.

10.2. Limitation of Liability. By using Grant Gazelle’s website and services, you acknowledge and agree that they are provided “as is” and “as available,” without any guarantees or warranties—either express or implied. Your use of the website and services is entirely at your own risk. We make no promises regarding how well the website or services align with your particular goals or expectations; continuous, timely, or error-free availability; the accuracy or reliability of results obtained through the services; the quality of any content, tools, or products accessed through the platform; or the correction of any issues, bugs, or defects. Grant Gazelle explicitly disclaims any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We are not responsible for delays, interruptions, outages, or failures related to internet connectivity, third-party platforms, or systems beyond our reasonable control. By accessing and using Grant Gazelle’s services, you agree not to hold Grant Gazelle responsible for any service failures or errors, regardless of the cause.

  1. Grant Gazelle shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, business opportunities, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.
  2. In all cases, Grant Gazelle’s total cumulative liability to you or anyone acting on your behalf, for any claim arising out of or relating to these Terms or your use (or inability to use) the website or Services, will not exceed the amount you paid to Grant Gazelle for Services in the twelve (12) months immediately preceding the event giving rise to the claim. This cap applies to all claims collectively and will not be increased by multiple claims.
  3. This limitation of liability applies regardless of the legal theory—whether in contract, tort (including negligence), strict liability, or otherwise—and remains enforceable even if any remedy provided in these Terms fails its essential purpose.
  4. By using our Services, you acknowledge and accept these Terms, including the inherent risks associated with internet-based platforms and third-party systems.

11.0 Indemnification

11.1. Indemnification. You agree to protect, defend, indemnify, and hold harmless Grant Gazelle, its officers, directors, employees, consultants, and agents from any and all losses, damages, claims, liabilities, costs, penalties, settlements, or expenses of any kind arising from or related to your actions or omissions, including but not limited to: (i) any content you provide; (ii) your use of the Grant Gazelle’s Website or Services; (iii) any failure to pay required Taxes; and (iv) any breach of these Terms. You also agree to cover any and all expenses incurred by Grant Gazelle in defending against such claims, including reasonable legal fees.

12.0 Miscellaneous Legal Provisions

12.1. Authority to Bind. You confirm that you are fully authorized to act on behalf of your organization or entity, have reviewed and understand these Terms, and accept them on the organization’s behalf, if applicable.

12.2. Severability. If any part of these Terms is found invalid, unlawful, or unenforceable by a court with proper authority, the rest will remain valid and enforceable.

12.3. No Waiver. The failure of either Party to enforce any part of these Terms, or to exercise any right, shall not be considered a waiver of that right, nor shall it prevent the Party from exercising it in the future.

12.4. Entire Terms. These Terms are the complete agreement between you and Grant Gazelle regarding the subject matter they cover. They replace any previous agreements, conversations, negotiations, or offers, whether written or spoken, about the Term’s subject matter.

12.5. No Third-Party Beneficiaries. These Terms do not confer any benefits on any Third Party.

12.6. Governing Law. These Terms and all related disputes or claims will be governed by the laws of the State of Ohio. The United Nations rules for international sales of goods do not apply.

12.7. Force Majeure. Except for your responsibility to pay any Fees due, neither you nor Grant Gazelle will be held responsible for delays or failures to meet obligations caused by events beyond your control, such as natural disasters, acts of God, terrorism, riots, or war.

12.8. No Agency. These Terms do not create any agency, partnership, or joint venture between the Parties.

12.9. Notices. Grant Gazelle will send any notices related to these Terms to the email address you have provided and that we have on file. You must send notices to Grant Gazelle at support@grantgazelle.com. Notices are considered received at the time they are sent by email. You are responsible for keeping your email address up to date during your Subscription.

12.10. Survival. The sections of these Terms that deal with payments, data protection, confidentiality, intellectual property, termination effects, liability limits, indemnification, and any other provision meant to continue after the agreement ends will apply even after termination. Ending these Subscription Terms does not remove either Party’s responsibility for anything that happened before termination or for breaking the Terms.

12.11. Assignment. You may not transfer any of your rights under these Terms, and any attempt to do so will be invalid. Grant Gazelle may transfer its rights to any of its affiliates or a successor to its business related to the Services.

14.0 Privacy Policy

14.1. Privacy Policy. Your use of Grant Gazelle Services is also subject to our Grant Gazelle Privacy Policy, which describes how we gather, handle, disclose, and protect your personal data. By using our Services, you agree to the data practices outlined in that policy.

16.0 Definitions

“Account” refers to your personal or business login profile created through Grant Gazelle, which allows you to access the online course, tools, and related Services. It includes your registration details, login credentials, and any preferences or activities associated with using the Grant Gazelle Services.

“Account Credentials” means the username, password, and other login information you use to access your Grant Gazelle Account.

“Account Information” means information you provide to Grant Gazelle in connection with the creation or administration of your Grant Gazelle Account, including names, log-in credentials, phone numbers, email addresses, and billing information associated with your Grant Gazelle Account.

“Terms of Service” means this Grant Gazelle Business Agreement between you and Grant Gazelle and all Terms linked or referred to herein.

“including” means including but not limited to.

“Intellectual Property Rights” refers to the full scope of legal protections—both existing and those that may be created in the future—that apply to things like patents, copyrights, trademarks, trade secrets, and moral rights under the laws of any jurisdiction. These rights exist to protect original and creative work.

“Liability” means a party’s legal responsibility for something, whether from a contract, a mistake (like negligence), or another legal reason. It applies whether or not the issue was expected or planned for.

“Services” refers to everything Grant Gazelle provides under these Terms, including any updates, improvements, modifications or changes we make to those Services over time.
